Shopping Elegia

Last updated: 2 November 2026

1. Purpose and nature of the service

Shopping Elegia is a digital platform that provides commercial spaces for independent merchants, allowing them to display and sell their products through a shared technological infrastructure.

Membership grants the merchant the right to use a digital commercial space and the features included in the contracted service for the duration of the agreement.

Shopping Elegia does not purchase, resell or take ownership of products sold by merchants.

The service consists of providing technological infrastructure and does not constitute a business partnership, commercial agency, franchise or employment relationship.

2. Application and merchant identification

Applications are open to merchants and business entities legally authorised to carry out the commercial activities corresponding to the products or services they intend to offer.

Applicants must provide accurate, complete and up-to-date information, including:

  • Business name or trading name and legal identification.
  • Tax identification number and registration details, where applicable.
  • Business address and commercial contact details.
  • Identification of the person responsible for the business.
  • Information required to verify identity and commercial activity.
  • Information necessary to configure payment and invoicing services.

Acceptance of an application is subject to verification of the participation requirements and approval by Shopping Elegia.

Shopping Elegia may request additional documentation where necessary to comply with legal obligations or verify the information provided.

3. Commercial independence

Each merchant conducts business independently, in their own name and at their own commercial risk.

Merchants retain autonomy over product selection, pricing, promotions, order processing and customer relationships.

Shopping Elegia does not determine merchants' selling prices, without prejudice to compliance with applicable laws and the platform's terms of use.

The merchant is identified as the seller in transactions made with consumers.

4. Annual membership fee and financial terms

The reference membership fee for Shopping Elegia is EUR 480 per year, plus applicable VAT.

The annual fee covers 12 months of use of the digital commercial space, starting from the effective activation date of the store on the platform.

Shopping Elegia does not charge percentage-based or fixed commissions on sales made by merchants.

Fees charged by external payment, invoicing, shipping or other service providers contracted by the merchant do not constitute Shopping Elegia commissions and are the merchant's responsibility.

Additional services not included in the membership are quoted separately and require the merchant's prior acceptance.

Before contracting, the final price, payment conditions, service duration and applicable renewal terms will be communicated.

5. Duration, renewal and cancellation

Membership has an initial duration of 12 months, starting from the effective activation date of the store on Shopping Elegia.

Effective activation means the date on which the store becomes available for commercial use on the platform, after the necessary preparation and approval procedures have been completed.

The activation date will be communicated to the merchant and will serve as the reference for the beginning and end of the contracted annual period.

Renewal and cancellation conditions will be communicated before contracting and included in the contractual confirmation.

Merchants may request non-renewal of the service in accordance with the agreed contractual terms.

Cancellation or non-renewal does not remove obligations relating to orders previously placed, including deliveries, returns, warranties and refunds.

The financial consequences of early termination are governed by the terms accepted by the merchant and applicable law.

6. Store management

Each merchant is responsible for managing and updating the content of their store, including products, images, descriptions, prices, availability and commercial information.

Merchants undertake to keep all information accurate, clear and up to date.

Use of the management tools provided by the platform must respect the rights of other merchants and Shopping Elegia's operating rules.

Administrative access is personal or assigned to users authorised by the merchant, who must ensure the secure use of the relevant login credentials.

7. Prohibited products and activities

The sale of illegal, counterfeit, stolen or dangerous products, or products whose sale does not comply with applicable legislation, is prohibited.

Fraudulent offers, misleading commercial information and unauthorised use of trademarks, images or other third-party rights are also prohibited.

Products subject to licensing, authorisation, legal restrictions or special requirements may only be sold where all applicable conditions have been met and their sale is permitted by the platform.

Shopping Elegia reserves the right to restrict certain product categories for legal, safety or commercial policy reasons, based on transparent and non-discriminatory criteria.

8. Product safety and compliance

Merchants are responsible for ensuring that the products they sell comply with applicable legislation, including safety, identification, labelling and consumer information requirements.

Where required by law, information identifying the manufacturer, responsible economic operator, warnings and safety instructions must be provided.

Merchants undertake to cooperate in cases involving product safety alerts, withdrawals, recalls or notifications concerning dangerous or non-compliant products.

Shopping Elegia may remove or restrict offers where required by law or provided for in the contractual terms, while complying with the platform's own legal obligations.

9. Payments

Payments for purchases are made directly to merchants through the payment methods configured for each store.

The platform supports or plans to support integrations with solutions such as Easypay and PayPal, subject to technical availability, acceptance and the terms of the respective providers.

Each merchant is responsible for their payment accounts, credentials, financial fees, transactions, chargebacks and any payment disputes.

Shopping Elegia does not receive or retain merchants' sales revenue.

Use of payment services is subject to the terms and conditions of the respective providers.

10. Invoicing and tax obligations

Each merchant is responsible for issuing tax documents relating to sales made to their customers.

Shopping Elegia plans to provide integration features for invoicing solutions, including Moloni, Vendus and InvoiceXpress, subject to service availability and configuration.

Merchants must contract and configure the invoicing services required for their activities, ensuring compliance with applicable tax obligations in their country and the markets in which they operate.

Shopping Elegia does not issue invoices for product sales in its own name.

Invoicing for Shopping Elegia membership services is separate from invoicing for sales made by merchants.

11. Shipping and deliveries

Merchants are responsible for arranging shipping, establishing delivery conditions and ensuring the fulfilment of orders.

The platform may provide reference shipping rate tables, including CTT reference rates, which merchants may adjust according to their needs.

Merchants may use the shipping providers they consider appropriate, in compliance with applicable commercial and legal requirements.

Shipping costs, delivery times, delivery areas and other relevant conditions must be communicated to consumers before purchase confirmation.

Shopping Elegia does not contract or perform shipping services for goods sold by merchants.

12. Customer service, returns and warranties

Each merchant is responsible for customer service and resolving matters relating to the products they sell.

This responsibility includes commercial complaints, returns, exchanges, warranties, product non-conformity and refunds.

Merchants undertake to respect consumer rights established by applicable legislation, including the right of withdrawal where legally provided.

The platform may forward communications received regarding merchants' orders to the relevant stores.

Shopping Elegia provides technical support concerning platform operation without replacing merchants in their commercial obligations.

13. Visibility and presentation of offers

Shopping Elegia brings together different stores within a shared shopping destination, allowing visitors to discover merchants, categories and products.

Participation in the platform does not guarantee a minimum number of visits, enquiries, orders or sales.

The presentation of products and stores may depend on factors such as categories, search terms, relevance, availability and the sorting criteria used by the system.

The main ranking parameters, their relative importance and the possible existence of paid promotional placements must be communicated transparently to merchants.

Shopping Elegia does not undertake to guarantee individual commercial results.

14. Personal data and confidentiality

Shopping Elegia and merchants undertake to comply with applicable personal data protection legislation.

Each merchant must use customer data only for lawful, properly communicated purposes related to their business activities.

Access to data provided through the platform is restricted to legitimate commercial management needs and assigned permissions.

Merchants may not access, use or disclose data belonging to other merchants without authorisation or a valid legal basis.

Specific responsibilities for personal data processing will be determined according to the operations actually carried out and any legally required data protection agreements.

15. Trademarks, images and intellectual property

Each merchant retains the rights to the trademarks, logos, images and content they own.

Merchants guarantee that they hold the necessary rights or authorisations to use the content they publish.

During the membership period, merchants authorise Shopping Elegia to display and reproduce their store content to the extent necessary for the operation, promotion and marketing of their store and products within the platform's activities.

This authorisation does not transfer ownership of the content to Shopping Elegia.

Use of trademarks and content outside these purposes requires authorisation or another applicable legal basis.

16. Additional services

Shopping Elegia may provide complementary services, including content creation and management, product listing, catalogue management, translations, SEO optimisation, store customisation, technical support and other digital services.

These services are not included in the annual membership fee unless expressly stated otherwise.

All additional services are subject to an individual quotation and the merchant's prior acceptance.

Contracting additional services is optional and does not affect continued membership in Shopping Elegia.

17. Store suspension and restrictions

Shopping Elegia may restrict content, suspend features or take other proportionate measures where justified grounds exist, including:

  • Serious or repeated breaches of these terms.
  • Sale of illegal or dangerous products.
  • Fraudulent use of the platform.
  • False or misleading commercial information.
  • Failure to comply with relevant legal obligations.
  • Failure to fulfil payment obligations relating to the contracted service, under the applicable terms.
  • Specific risks to the security of the platform or its users.

Decisions concerning restrictions, suspension or termination will be justified and communicated to merchants, respecting the deadlines, procedures, exceptions and opportunities to challenge decisions established by applicable legislation.

18. Termination and business information

Upon termination of membership, merchants lose the right to use the contracted commercial space and related features.

Termination does not affect commercial, tax or legal obligations relating to previous transactions.

Access to and retention of store information and previous orders are subject to statutory retention requirements, data protection obligations and the access and export conditions communicated to merchants.

Where applicable, merchants must ensure that they obtain the data and documents necessary for the continuity of their business activities in advance.

19. Responsibilities of the parties

Each merchant is responsible for obligations arising from their commercial activities, including product legality, published information, sales transactions, payments, invoicing, deliveries, warranties and customer service.

Shopping Elegia is responsible for the services it provides directly and for compliance with the legal obligations applicable to its own activities.

Nothing in these terms excludes or limits liability that cannot legally be excluded or restricted.

Both parties undertake to cooperate in good faith in resolving incidents affecting platform use or consumer rights.

20. Complaints and dispute resolution

Merchants may submit complaints concerning platform operation, decisions affecting their stores or the interpretation of these terms.

Complaints should be sent to comercial@elegia.studio, without prejudice to other mechanisms required by law.

Shopping Elegia will endeavour to review and respond to complaints with reasons, respecting applicable procedures.

Both parties may use legally available dispute resolution mechanisms.

21. Contractual amendments

Shopping Elegia may update these terms for duly justified legal, technical or commercial reasons.

Changes will be communicated to merchants through a durable medium, respecting the minimum notice periods required by law.

Changes will not have retroactive effect to the detriment of merchants' legally protected rights.

Where legally applicable, a minimum notice period of 15 days will be respected, or a longer period where changes require significant technical or commercial adjustments.

22. Applicable law and final provisions

These terms govern the commercial relationship between the membership service provider and the merchant, without prejudice to applicable mandatory national and European Union legislation.

The definitive identification of the contracting and invoicing entity, applicable contractual law and dispute resolution mechanisms will be confirmed before these terms are used for service contracting.

If any provision is found to be invalid, the remaining provisions will remain valid to the extent permitted by law.
